1. Introduction & Acceptance
These Terms and Conditions ("Terms") form a legally binding agreement between you ("User", "you") and KAWHUDS GROUP LTD, registered in England & Wales under company number 17092932 ("Partshunter", "we", "us"). By registering, accessing, or using the Partshunter mobile application or website at partshunter.co.uk ("Platform"), you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must cease using the Platform immediately.
β οΈ These Terms contain important limitations on our liability and provisions that significantly affect your legal rights. Please read them carefully before using the Platform.
2. Nature of the Platform
Partshunter is a technology marketplace platform only. We provide infrastructure enabling buyers to post spare part requests and verified sellers to respond with quotes. We are not a seller, retailer, distributor, agent, or manufacturer of any spare parts listed. We hold no inventory. The contract for the purchase and sale of any part is formed exclusively and directly between the buyer and the seller.
Partshunter's role is strictly limited to: (a) facilitating introductions between buyers and sellers; (b) broadcasting part requests; (c) processing payments as a payment intermediary on behalf of sellers; and (d) providing a dispute mediation service. Nothing in these Terms or on the Platform constitutes Partshunter as a party to any transaction.
3. Eligibility & Accounts
- You must be at least 18 years of age to use the Platform.
- You must provide accurate, complete, and up-to-date registration information at all times.
- You are solely responsible for maintaining the security and confidentiality of your login credentials. Notify us immediately at support@partshunter.co.uk if you suspect unauthorised account access.
- You may not operate more than one active buyer or seller account without our written consent.
- Accounts registered on behalf of a business entity must be created by an authorised representative of that entity.
- We reserve the right to decline or refuse registration to any applicant at our sole discretion.
4. User Obligations
All users (buyers and sellers) must:
- Use the Platform lawfully and in compliance with all applicable laws and regulations.
- Provide truthful, accurate, and non-misleading information in all listings, communications, and transactions.
- Refrain from fraudulent, deceptive, abusive, or manipulative conduct toward other users or Partshunter.
- Not use the Platform to circumvent, disable, or interfere with any security features, access controls, or payment systems.
- Not scrape, harvest, or extract data from the Platform without our express written consent.
- Not use the Platform to send unsolicited marketing communications, spam, or phishing messages.
- Comply with all applicable consumer protection, trading standards, health & safety, and tax laws in their jurisdiction.
- Not attempt to conduct sales or payments outside the Platform to circumvent fees ("fee bypassing"). Any such behaviour will result in immediate account termination.
5. Seller Obligations & Verification
To become a verified seller, you must complete Partshunter's verification process, which may include identity verification, proof of business registration, address verification, and compliance screening. We reserve the right to refuse, suspend, or revoke seller status at our sole discretion without providing a reason.
Verified sellers agree to:
- Accurately describe all parts quoted, including part number (where applicable), brand, condition (new, used, reconditioned, aftermarket), fitment compatibility, and any known defects or imperfections.
- Only quote and sell parts that are legally permitted to be sold in both the seller's and buyer's jurisdiction.
- Never list, offer, or sell counterfeit, stolen, cloned, or illegally obtained parts. Sellers found to have done so will be permanently banned and may be reported to relevant law enforcement authorities.
- Fulfil all accepted orders promptly and professionally, within the timeframe stated at the time of quoting.
- Maintain adequate stock to fulfil quoted items. Where stock becomes unavailable after a quote is accepted, the seller must immediately notify the buyer and Partshunter.
- Respond to buyer queries and dispute notifications within 24 hours.
- Assume full legal and commercial responsibility for the authenticity, fitness for purpose, safety, and quality of all parts sold through the Platform.
- Collect and remit all applicable taxes (VAT, sales tax, etc.) as required by their local laws.
6. Buyer Obligations
- Buyers are solely responsible for providing accurate vehicle information (make, model, year, engine type, chassis number where relevant) and part specifications when posting requests. Partshunter accepts no liability for buyer errors in specification.
- Buyers must verify part compatibility before accepting any quote. Accepting a quote constitutes confirmation that the buyer has satisfied themselves the part is appropriate for their needs.
- Buyers must complete payment for accepted orders within the timeframe specified in the app.
- Buyers must inspect parts promptly upon receipt and report any issues within 48 hours of confirmed delivery via the in-app dispute centre or at disputes@partshunter.co.uk. Failure to report within this window will be treated as acceptance of the item.
- Buyers must not install, modify, or alter any parts before a dispute is resolved, as doing so may void any return or refund entitlement.
7. Commission & Pricing
Partshunter applies a platform service fee of 20% which is added to the seller's quoted price and presented to the buyer as the total price:
- Example: Seller quotes Β£100 β Buyer pays Β£120 β Seller receives Β£100 β Partshunter retains Β£20.
- All prices displayed to buyers are fully inclusive of the platform commission. There are no hidden fees.
- The commission structure is disclosed to sellers at registration and agreed to as a condition of use.
- Partshunter may modify its commission rates upon 30 days' written notice to sellers. Continued use of the Platform following such notice constitutes acceptance of the revised rates.
- Partshunter reserves the right to run promotional commission reductions for specific periods or seller categories at its sole discretion.
8. Order Process & Payments
An order is formed when a buyer formally accepts a seller's quote via the Platform. A binding agreement is created at that moment between the buyer and seller, subject to these Terms.
Payment Rules:
- Delivery Orders: Full payment must be made upfront through the Platform's secure payment system before the seller dispatches the part. No part will be dispatched prior to payment confirmation.
- Collection Orders: Payment is made in person at the seller's premises at the point of collection. Buyers must not use, modify, or test parts before completing payment.
- All payments are processed via third-party payment service providers. Partshunter does not store payment card data.
- Payment disputes must be reported to accounts@partshunter.co.uk within 7 days of the transaction date.
- Partshunter reserves the right to withhold payment to sellers pending investigation of a dispute.
9. Delivery & Collection
- Delivery is arranged and fulfilled entirely by the seller or a third-party courier of their choosing. Partshunter is not a logistics provider and has no control over delivery timelines, methods, or outcomes.
- Estimated delivery timeframes provided by sellers are indicative only and are not guaranteed. Partshunter accepts no liability for late, failed, or incorrect deliveries.
- Risk of loss or damage to goods passes to the buyer upon handover to the courier for delivery orders, or at the point of physical collection for pickup orders.
- Buyers must ensure availability at the agreed delivery address. Failed delivery attempts due to buyer unavailability are not grounds for a refund.
- For international orders, buyers are responsible for understanding and paying any applicable import duties, customs fees, or taxes in their country.
10. Cancellations
- Buyers may cancel an order within 1 hour of acceptance, provided the seller has not yet dispatched the part. Cancellation requests must be submitted via the app or by emailing support@partshunter.co.uk.
- After dispatch, cancellations are treated as return requests and are subject to the Return & Exchange Policy.
- Sellers may only cancel an accepted order if the part becomes genuinely and verifiably unavailable after acceptance. Sellers must notify the buyer and Partshunter immediately. Repeated seller cancellations will result in account review and possible suspension.
- Where a seller cancels an accepted order, the buyer will receive a full refund within 3β5 working days.
11. Prohibited Conduct
The following are strictly prohibited:
- Listing, quoting, or selling stolen, counterfeit, cloned, or illegally obtained parts.
- Conducting or attempting to conduct transactions outside the Platform to avoid fees.
- Posting false, fabricated, or incentivised reviews or ratings.
- Harassment, threats, abuse, or discrimination toward any user or Partshunter staff.
- Creating fake accounts or misrepresenting your identity, qualifications, or business.
- Uploading malware, viruses, or any harmful or disruptive code.
- Using the Platform to facilitate money laundering, tax evasion, or any financial crime.
- Attempting to reverse-engineer, decompile, or copy any part of the Platform.
- Using automated tools, bots, or scripts to interact with the Platform without our consent.
Any breach may result in immediate account suspension, legal action, and/or reporting to relevant law enforcement authorities.
12. Intellectual Property
All Platform content β including trademarks, logos, software, text, images, and UI design β is owned by or licensed to KAWHUDS GROUP LTD. You may not reproduce, distribute, modify, reverse-engineer, or create derivative works from any Platform content without our prior written consent. By submitting content to the Platform (photos, descriptions, reviews), you grant Partshunter a non-exclusive, worldwide, royalty-free, perpetual licence to use, display, and distribute such content in connection with the Platform's operation and promotion.
13. Limitation of Liability
To the fullest extent permitted by applicable law:
- Partshunter shall not be liable for any loss, damage, injury, or expense arising from: (a) the quality, safety, legality, or fitness for purpose of any part sold through the Platform; (b) any failure by a seller to fulfil an order; (c) any misrepresentation or fraud by a seller or buyer; (d) any damage caused by parts after purchase, installation, or use; (e) any interruption, downtime, or technical failure of the Platform.
- Our total aggregate liability to any user in respect of any single claim shall not exceed the greater of (a) the platform commission received on the specific transaction giving rise to the claim, or (b) Β£100.
- Nothing in these Terms excludes liability for death or personal injury caused by our proven negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded under English law.
- The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted operation.
14. Indemnification
You agree to indemnify, defend, and hold harmless KAWHUDS GROUP LTD and its directors, officers, employees, contractors, and agents from any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Platform; (b) your breach of these Terms; (c) your violation of any third-party rights or applicable law; (d) any content you submit to the Platform; or (e) any dispute between you and another user.
15. Dispute Resolution
- Direct Resolution: Parties must first attempt to resolve disputes directly via the in-app messaging system within 48 hours of the issue arising.
- Formal Dispute: If unresolved, either party may submit a formal dispute to disputes@partshunter.co.uk with full documentation and evidence.
- Review Period: Partshunter will acknowledge the dispute within 2 working days and issue a decision within 10 working days of receiving all required information.
- Payment Holds: Partshunter reserves the right to hold any funds in escrow pending the outcome of a dispute.
- Finality: Partshunter's dispute decisions are made in good faith but are not legally binding arbitration awards. Either party retains the right to pursue independent legal remedies.
- Escalation: Unresolved escalations may be referred to management at management@partshunter.co.uk.
16. Account Suspension & Termination
We may suspend, restrict access to, or permanently terminate any account at our sole discretion and without prior notice if we reasonably believe a user has:
- Violated any provision of these Terms;
- Engaged in fraudulent, deceptive, or illegal activity;
- Created legal or reputational risk for the Platform;
- Received repeated and substantiated complaints from other users;
- Used the Platform in a manner inconsistent with its intended purpose.
Upon termination, your right to access the Platform ceases immediately. All outstanding obligations survive termination. No fees are refunded upon suspension for cause. Users who believe a suspension was made in error may appeal to management@partshunter.co.uk.
17. Privacy & Data Protection
Your use of the Platform is governed by our Privacy Policy, incorporated herein by reference. We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
18. Amendments
We may update these Terms at any time. Material changes will be communicated via in-app notification or email at least 14 days before taking effect. Continued use of the Platform following notification constitutes acceptance of the revised Terms.
19. Governing Law & Jurisdiction
These Terms and any disputes arising in connection with them shall be governed by the laws of England and Wales. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any applicable mandatory consumer protection provisions in a user's country of residence.
